Facilities Commercial Terms
Commercial ordering, monitoring, and procurement terms for Terrestream Facilities.
1. Documents and precedence
This Facilities Commercial Addendum supplements the Terrestream Terms of Service dated June 1, 2026 (Platform Terms) for an accepted Facilities order between Aerodyne Inc., doing business as Terrestream, and the customer legal entity identified in that order. The applicable Privacy Policy and Data Processing Agreement apply according to their terms. The Data Processing Agreement controls conflicts about processing personal data. The accepted order controls its quantities, prices, dates, enabled services, and expressly approved procurement exceptions; this Addendum controls other Facilities-specific conflicts; otherwise the Platform Terms remain unchanged. Notices follow the incorporated documents and the accepted order.
2. Quote requests and order acceptance
Submitting a quote request, estimate request, or request for a NET 30 invoice is an inquiry only. It is not an accepted order, does not authorize shipment, create a commercial account, start monitoring, extend credit, or require either party to proceed. An order becomes binding only when the customer's authorized procurement representative accepts the identified order revision and incorporated document versions and Aerodyne documents its acceptance. A purchase-order number or buyer boilerplate changes the agreement only when both parties expressly accept the change in writing. Public institutions may request a procurement rider for review.
An indicative estimate remains available for 30 days from its creation, unless it states a different expiration date. A final quote identifies its own validity period. Estimated savings and avoided-loss scenarios are illustrations, not promised outcomes or credits against a purchase.
3. Planning and hardware pricing
Estimates begin with one sensor per selected room as a planning assumption. Room layout, partitions, airflow, pipe exposure, and placement may require additional sensors; the assumption is not a coverage guarantee. For an accepted launch order, new sensors are priced in U.S. dollars at $249 each for 1–10 new units and $199 each when the order includes 11 or more new units. The 11-unit price applies to every new unit in that order. Existing sensors do not count toward the hardware tier. Boxed spares count as hardware but do not incur monitoring fees until eligible commissioning. The accepted order states shipping, taxes, installation, and other services; an estimate with unconfirmed charges is not an all-in price. Existing-device compatibility and offer eligibility require confirmation.
4. Monitoring and renewal
An eligible sensor includes its first 12 months of Facilities monitoring only when the accepted order includes that offer and the server records the sensor as commissioned into the contracted, enabled monitoring service. Inventory setup, shipment, a demonstration, or an unqualified first reading does not start the included period. After that included period, monitoring is $49 per active commissioned sensor per year, billed annually only under a separately accepted renewal, purchase order, or other documented customer authorization. There is no per-user or per-building monitoring fee. Moving a sensor does not restart the included period, and an authorized replacement inherits the remaining entitlement. Temporary loss of connectivity does not remove an allocated monitoring seat.
The included period does not automatically convert to a paid service. Aerodyne will identify the covered sensors, renewal dates, annual price, and service consequences before renewal. No charge or renewal occurs without the customer's documented authorization under its accepted procurement process.
5. NET 30 and invoicing
NET 30 is available only after Aerodyne staff approves the customer and the applicable order. A request for NET 30 is not credit approval and is not a payable invoice. An issued invoice states the accepted order, issue date, and actual calendar due date. Unless the accepted order states otherwise, payment is due 30 calendar days after the invoice issue date. This Addendum imposes no automatic late fee. Invoice status, payment, shipment, account provisioning, and service activation remain separate records and approvals.
6. Service availability and measurement limits
Facilities provides only the device and service functions identified as enabled in the accepted order. Measurements describe conditions near each sensor and depend on placement, power, connectivity, operating conditions, and data age. Missing or stale data is not evidence that conditions are acceptable. Automatic room evaluation, incident creation, and email, text, or voice escalation are included only when an accepted availability schedule expressly identifies them as enabled. Facilities is not emergency dispatch, a life-safety alarm, or a guarantee against freezing, leaks, mold, property damage, or injury.
Room measurements do not establish window position, pipe temperature, mold presence, or the cause of a heating problem. Customers remain responsible for placement, working power and network access, physical checks, required inspections, winterization, maintenance, and responding to findings. Building-standard alignment does not establish RESET or WELL certification.
7. Existing protections
The limited hardware warranty and warranty disclaimers in Platform Terms §10, liability provisions in §§11–12, and the Data Processing Agreement's applicable data-protection provisions remain unchanged except for an expressly accepted rider. This Addendum creates no additional warranty, service level, indemnity, damages cap, uncapped alert obligation, or insurance-backed performance guarantee. It grants no additional rights to publish customer names or logos or to use personal data for AI training.
8. Procurement and insurance requirements
Insurance requirements, certificates, additional-insured status, waivers of subrogation, primary or noncontributory wording, and special indemnities apply only if supported by applicable issued coverage and expressly accepted in a written order schedule or rider. No insurer is a party to or guarantor of the service. This Addendum does not represent that any particular insurer, policy, limit, certificate, or endorsement is in force.
